1. Parties

1.1 : This agreement governs the terms of sale and use of services between GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi and persons or entities (hereinafter the CUSTOMER) who wish to purchase and use the Products/Services described on GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi’s websites, including www.gioev.com and .com, .tr, .net , and .org domains (hereinafter the WEBSITES).

2. Definitions

2.1 - Materials : All available database records, various documents, software, programs, scripts, graphics, design, and image files which have been supplied by the CUSTOMER and/or which have been produced for storage on electronic media.
2.2 - Access Passwords : The passwords provided to the CUSTOMER by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi to allow them access the interfaces/systems such as the Customer Control Panel/Management Panel.
2.3 - Email : The messages enabling online communications between users.
2.4 - Devices : Any active/passive network and communications equipment such as computers, hardware, servers, routers, etc., used for the storage/transmission of data, and owned by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi or the CUSTOMER.

3. Subject Matter and Purpose of the Agreement

3.1 : The subject matter of this agreement covers the rights and obligations of the parties with respect to the sale and use of the products/services the prices and qualities of which are specified, as demanded by the CUSTOMER from among the products/services offered by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi over the WEBSITES, or the products/services specified in the appendices.
3.2 : By accepting this agreement, the CUSTOMER agrees in advance that they shall be assuming the obligation to pay the price stipulated should they approve the products/services covered by the agreement, along with supplementary payments such as installation fees and taxes, and that they have been notified on this matter.
3.3 : By accepting this agreement, you shall be deemed to have read, understood, and agreed with, within the framework of the Regulation on Distance Sales and applicable Consumer Legislation, the General Terms of Use, Confidentiality/Security Policy, Service Agreement and the specific agreements, if any, concerning the products/services you purchase, provided on the WEBSITES of GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi, to have received preliminary information within the framework of Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Agreements, and to have agreed that the provisions of the agreement are binding for you.

4. Effective Date, Term, and Termination of the Agreement

4.1 : This agreement shall take effect for the products/services offered for online orders on GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi’s WEBSITES, as of the date of provision (activation) of the product/service requested subsequent to the CUSTOMER’s purchase request (order). The records of GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall serve as the basis for determining the activation date.
4.2 : In cases where the CUSTOMER does not use the online ordering system, or where the product/service is requested through direct contact with BRAND SUPPORT, this agreement shall enter into effect on the date of signing, upon the delivery of its copies to GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi directly or via email.
4.3 : Unless specified otherwise in this agreement, the term of the agreement shall match the usage period of the product/service the CUSTOMER has chosen during the ordering process.
4.4 : Unless the parties provide notification for the termination of this agreement by the end of its term, up until 30 working days in advance of its termination, this agreement may be extended with the same terms and conditions, based on the new prices announced by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi on the applicable date.
4.5 : This agreement shall automatically become null and void without any notice or procedure upon the end of the service provided or in cases of termination specified herein.
4.6 : If this agreement is terminated prematurely, save for cases of termination by the CUSTOMER with written notice on valid grounds caused by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi, no refunds shall be provided by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi to the CUSTOMER.

5. Notices

5.1 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall send any notices to the CUSTOMER, including the notice for service renewal, to the email address specified by the CUSTOMER. The CUSTOMER is responsible for ensuring that the address is valid and up to date, and belongs to a person authorized with respect to the services received. Based on the assumption that the CUSTOMER is aware of the service renewal periods, the CUSTOMER agrees that they shall not hold BRAND SUPPORT liable for any defects to the services due to delays or problems which may arise under any circumstances with the email notifications GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi serves to them with respect to renewal procedures performed.
5.2 : The CUSTOMER agrees, represents, and warrants that the information they shall provide to GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi at the time of registration or after beginning use of the service shall be accurate and up to date, that they shall not raise any claims against GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi for any failures or losses which may arise out of inaccuracies, shortcomings, or obsolescence of the information they provide to GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi, that the identification and contact details and email address they provided are valid, accurate, and complete, and are to be assumed as such by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi, that any notification and invoicing processes by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi carried out for the CUSTOMER shall be based on such information provided that the CUSTOMER does not specify otherwise in writing, that the information they provide is monitored with respect to the service covered by this agreement by an authorized person associated with the CUSTOMER, and that they shall notify GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi in case of any changes. The CUSTOMER shall bear any liability arising out of the failure to keep such information accurate, complete, and up to date.
5.3 : The CUSTOMER agrees to the sending of informative emails regarding GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi’s promotions, products/services, to the email address they provided to GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi, and to the listing of their name as a reference by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi on the website or on other channels.

6. Fee, Invoicing, and Payments

6.1 : The fee payable for the services the CUSTOMER receives shall be equal to the amount specified during the ordering process for the products/services which can be ordered online, and the amount specified by BRAND SUPPORT for product/service orders placed outside the framework of online ordering. The fees specified shall be calculated with the addition of VAT and other legally applicable taxes, with collection taking place upon the CUSTOMER’s approval following the notification.
6.2 : The fees applicable to the products/services received, as well as the period and form of payment shall be specified during the ordering process and/or in this agreement. The CUSTOMER agrees to pay for the products/services they purchase at the moment of ordering the service from GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi. The payment shall be effected by the CUSTOMER through a means of payment offered to the CUSTOMER on the WEBSITES by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi.
6.3 : Payments stipulated in foreign currencies shall be paid through conversion to Turkish Liras using the exchange rate specified by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi as of the date of payment.
6.4 : The CUSTOMER shall be required to pay the fee specified by the end of the 5th working day following the date of the pro forma invoice, via credit card, transfer to the bank account numbers provided, or in cash to GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi. Invoicing shall follow the payment. In case of failure to make the payment on time, GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may immediately cancel and/or suspend and/or limit the product/service received without any notification. Within that time frame, GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may send warning messages to the CUSTOMER’s email address, replacing the existing page on the website with a warning message, with a view to notifying the customer. It may also issue exchange difference invoices for late payments, and apply 2% monthly late payment interest from the due date up to the date of actual payment. The CUSTOMER agrees to this condition.
6.5 : The invoice(s) issued by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi after payment for the products/services procured by the CUSTOMER shall be sent via post, courier service, parcel service, etc., as agreed upon by the parties, to the invoice address specified by the CUSTOMER. If the invoice is not received by the CUSTOMER, the CUSTOMER shall be required to notify GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi about this matter within 10 days following the invoice date. The CUSTOMER undertakes that failure to do so shall preclude them from raising any objections regarding invoices they have not received or received later.
6.6 : Upon the purchase of a product/service, if BRAND SUPPORT fails to collect from the CUSTOMER the full price of the products/services supplied, or experiences any problems regarding the payment received with respect to any fee previously collected (e.g. payments made using stolen credit cards), GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may take any administrative, procedural, judicial, and penal actions to collect the fee. The CUSTOMER agrees and declares that they are aware of this.
6.7 : In the event that the CUSTOMER fails to perform the payment on time or at all during the commencement or renewal of this agreement, or in the event of payment problems/payments with stolen credit cards, etc., GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may immediately cancel and/or suspend and/or limit the product/service received, without prejudice to its other legal rights and without notification. The CUSTOMER agrees to this condition.
6.8 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi reserves the right to collect a reasonable service fee at any time, for various tasks outside its regular services and for additional service or product requests. Such services include but are not limited to customer services problems which cannot be dealt with through email communications and which require the provision of personalized services, as well as disputes which require special handling. Such collections shall be invoiced pursuant to the CUSTOMER’s Payment Method registered with GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi.
6.9 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi reserves the right to effect forward-looking changes on the prices and tariffs without notification in advance.
6.10 : In the event that they pay with a credit card during service procurement and an automatic payment order is issued, the CUSTOMER agrees that the service fee shall be automatically collected at the service renewal period from the credit card they specified, that no refunds shall be made, and that GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not be held liable for any problems and/or delays arising due to the failure to collect the price from the credit card. The CUSTOMER agrees that services shall not be renewed in the event of their failure to make payment in due time, that GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not be liable for interruptions/delays which may arise with any service, and that they shall not raise any claims for losses against GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi.
6.11 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall be entitled to charge the fees for the services purchased from the credit card account specified by the CUSTOMER at the time of ordering, upon the CUSTOMER’s acceptance of this agreement and approval of the order.

7. Responsibilities

7.1 : The CUSTOMER agrees, declares, and undertakes to comply with the notices, notifications, and warnings issued/provided by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi within the framework of the service they receive.
7.2 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may send the ACCESS PASSWORDS and the information required with respect to the use of the products/services to the email address specified by the CUSTOMER. The CUSTOMER is required to maintain the confidentiality of such information and of the ACCESS PASSWORDS provided, and shall be liable for any losses and damages arising out of issues with these. The CUSTOMER is required to take the utmost security measures to prevent others from obtaining the ACCESS PASSWORDS.
7.3 : The CUSTOMER is responsible for maintaining the security of the email address specified to GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi. If the CUSTOMER’s email address is compromised by others, transactions may be performed with GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi via email. ACCESS PASSWORDS and information may be required for the products/services procured from BRAND SUPPORT. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not held liable whatsoever for any losses to be incurred in such cases, given the CUSTOMER’s responsibility to ensure the security of their own email address.
7.4 : The services that GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall be providing to the CUSTOMER are subject to physical limitations based on the package chosen by the CUSTOMER.
7.5 : The CUSTOMER shall not redistribute or sell on a paid or free and/or limited or unlimited basis to third parties the free and/or unlimited services provided to them.
7.6 : The CUSTOMER shall not rent out, sell, transfer, and/or make available to others the right of use under this agreement. They agree, represent, and warrant that in cases otherwise this agreement may be terminated without cause, and that they shall cover any damages arising on these grounds, and pay a fine equal at least to the price of this agreement, without any legal notice or warning.
7.7 : The CUSTOMER undertakes to be bound by the laws of the Republic of Turkey with respect to the services they receive. The CUSTOMER agrees, represents, and warrants that, should they act in breach of the laws and regulations in effect through the services they procure, they shall be solely liable for the consequences, that they shall cover any losses GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi and third parties may incur due to the breach, and that GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not be liable for any such claims.
7.8 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall make due efforts to provide services with a maximum level of continuity and operation to the CUSTOMER, using any reasonable resources available. That said, it does not guarantee that the services shall meet the CUSTOMER’s needs in full, that they shall be uninterrupted and continuous, without errors, and at a certain security level. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi’s liability regarding the direct and/or indirect losses the CUSTOMER may incur due to the use and/or the inability to use any service covered by this agreement shall be capped by the price of the service provided through the duration of disruption.
7.9 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi cannot be held liable for the CUSTOMER’s loss of information due to internet connection issues or their losses due to third party actions, or inaccurate transfers caused by the CUSTOMER and/or failures outside the control of GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi.
7.10 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi does not guarantee the accuracy, currency, or validity of the information published on the internet, and shall not be held liable whatsoever for any losses the CUSTOMER may incur on these grounds and/or due to information that is lost or altered during the online transfers and/or on any other grounds, whether it is their fault or not. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall make every effort within its means to protect the Materials. Despite such efforts, it shall not be held liable for any losses and damages that may arise regarding the Materials. The CUSTOMER is responsible for backing up the Materials. The CUSTOMER is required to keep backups of their Materials.
7.11 : The responsibility to back up all data within the framework of the service used, and to effect recoveries of backups, rests completely with the CUSTOMER.

8. Content, Materials, and Copyrights

8.1 : The CUSTOMER is obliged to comply with the laws on copyrights. They may install, publish, and/or keep on the Devices containing the products/services provided by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi only Materials for which they hold the copyrights.
8.2 : Installing, copying, or storing without authorization on the Devices any software, programs, scripts, operating systems, texts, articles, images, documents, etc. whose copyrights are held by others, and publishing such on the CUSTOMER’s pages, constitutes a violation of copyrights and applicable laws. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not be presented as a party to, nor shall it have tangible or intangible liability with respect to any disputes that may arise due to such actions. In such cases, the CUSTOMER shall be the party liable to the persons/entities whose copyrights have been violated. The CUSTOMER agrees to cover any tangible and/or intangible losses that may arise directly or indirectly. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi reserves the right to terminate the agreement in such cases.
8.3 : The CUSTOMER shall be liable for the setup, licenses, configuration of, and the matters concerning the software related to the services they receive, as well as any problems that may arise. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not be held liable for the actions of and information provided by the CUSTOMER, while the CUSTOMER may, at their choice, request to lease the licenses for the software they use, through GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi. Upon a request by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi, the CUSTOMER shall be required to submit to GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi information on the permission, use, and agreement details regarding the license they use.
8.4 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may make available the software, scripts, and similar programs it has authored itself and/or acquired or leased from third parties/entities to the CUSTOMER for use, for the maintenance or publication of the Materials supplied by the CUSTOMER, or to provide database support, etc. The copyrights for such software are held by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi and/or the third party/entity from which the software was procured. The CUSTOMER may use such programs and scripts only on the Devices authorized by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi and subject to the restrictions imposed by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi. Under no circumstances may the CUSTOMER copy such programs and scripts to and/or use them on other Devices. The CUSTOMER shall have rights only on the Materials supplied and the copyrights which they hold. The CUSTOMER agrees and declares that they shall be liable for covering any tangible and intangible losses GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may incur due to such violation in cases otherwise.
8.5 : The CUSTOMER agrees, represents, and warrants that they shall not act in violation of the laws of the Republic of Turkey, Law no. 5651 on Regulating Internet Publications and Combating Crimes Committed by Means of Such Publications, and public morals and manners in their email communications, website publications and the use of products/services, and that they shall be solely liable for the contents of the web pages, FTP, and other internet services belonging to them or their clients.
8.6 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not review, verify, or endorse the Materials prior to publication, nor shall it assume any liability for the Materials created by the CUSTOMER. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may terminate the agreement on the grounds of the CUSTOMER’s Materials violating the provisions of this agreement or on any other grounds, or in cases where GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi comes across illegal acts and actions or has reason to believe that direct or indirect harm is caused on it and/or any other user. In no way does this provision impose on GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi the obligation to audit the CUSTOMER’s Materials.
8.7 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not be held liable for the accuracy, validity, or up-to-dateness of the CUSTOMER’s Materials. The CUSTOMER agrees, represents, and warrants that GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi has not contributed in any way to the production of the Materials the CUSTOMER supplies, and has no knowledge of such contents.
8.8 : As the internet is a media environment, the CUSTOMER should pay attention to and make sure that their data does not contain confidential or private elements. Otherwise, GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not be held liable for direct or indirect issues.
8.9 : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not be held liable for any tangible or intangible losses that have arisen/may arise from the CUSTOMER’s use or misuse of the products/services provided by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi, or from page contents, programs, information, images, text, etc. received or sent via email. The CUSTOMER shall bear such liability.
8.10 : Security vulnerabilities in off-the-shelf software installed by the CUSTOMER and/or the software the CUSTOMER creates may enable any person on the internet to access the contents on the Devices, or to delete or modify data. The CUSTOMER should opt for highly secure products and should refrain from installing on the Devices any products in whose security they are not confident.
8.11 : The CUSTOMER acknowledges that, if authorized/official agencies contact GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi with reference to contents published or kept by the CUSTOMER, BRAND SUPPORT shall be obliged to comply with the relevant authorized/official agencies to the extent of its authority, and agrees and undertakes that they shall not file any claims on these grounds and/or shall be liable to cover any losses GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may incur due to their violation of the laws.

9. Termination

9.1 : In the event of the failure of any Party to comply with their obligations stipulated in this agreement, the general terms of use, or this agreement regarding the services received, for a period in excess of seven (7) days, or in the event that the information the CUSTOMER has submitted to GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi is found to be inaccurate, during the term of this agreement, the other Party may unilaterally terminate the agreement with immediate effect. The CUSTOMER agrees, represents, and warrants that, in the event of their violation of obligations or causing termination due to misrepresentation, they shall not be entitled to seek a refund on the fee they paid regardless of the remaining term; and in case of monthly payments, all payments applicable till the end of the order term for the services in question shall become due and payable.
9.2 : The CUSTOMER is entitled to terminate the agreement regarding the service they receive, during the term of the agreement without presenting any cause, with written notice submitted 10 days in advance. In such a case, GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not effect a renewal for the period following the CUSTOMER’s current period of use. However, the CUSTOMER agrees, represents, and warrants that they shall be obliged to pay the fee payable for this agreement and/or products/services for the period up to the normal date of expiration, and that they shall not be entitled to seek a refund where they have already paid the fee.
9.3 : The CUSTOMER agrees, represents, and warrants that they shall not be entitled to seek refunds on the fees paid for products/services, such as the domain name, SSL certificates purchased/leased on their behalf, as well as control panel/operating system license fees and/or software, etc. obtained from third parties/entities on their behalf, and for the installation thereof.
9.4 : The CUSTOMER shall be responsible for transferring information such as configuration, data, contents, etc. pertaining to the CUSTOMER’s systems in the event of the termination of this agreement on any grounds. In the event of failure to transfer such information prior to the date of termination of this agreement, all content shall be deleted, and GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not provide a copy thereof.
9.5 : In the event of the termination of this agreement on any grounds, the Devices, if any, in the CUSTOMER’s use, shall be disconnected from power sources; the Devices which are not owned by BRAND SUPPORT or which are not appropriated by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi to offset its receivables should be received from the address of GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi within 3 (three) days following the termination date of this agreement. Otherwise, GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi shall not have any liability regarding the equipment, and shall not be liable for any damages due to the inability to use the Devices.

10. Miscellaneous Provisions

10.1 - Notice : GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi’s addresses specified on the WEBSITES and the addresses specified by the CUSTOMER during the ordering process or specified in this agreement are the legal notification addresses of the parties. Any notice served to existing addresses shall be deemed valid unless the other party is notified in writing about any change to address. If the CUSTOMER is a company which is legally required to have a registered electronic notification address, GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may serve its notices to such address as well. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may send messages, information, letters, alerts, payment declarations, account statements, and account balance statements to the CUSTOMER’s email address. The CUSTOMER shall not be able to claim not to have received such electronic messages or non-delivery thereof, and agrees, represents, and warrants to be deemed to have been served legal notice 1 day after the sending date of these messages.
10.2 - Force Majeure : Under this agreement, only natural disasters, fires, wars, civil commotion, general strikes, and legislative changes shall be considered Force Majeure. If the Parties violate this agreement due to cases of Force Majeure, the Party which committed the violation shall not be held liable for the violation. The Party affected by force majeure shall notify the other Party in writing (“force majeure notice”) as soon as technically possible and in any case within a maximum of 1 (one) week following the occurrence of force majeure, about the extent of failure to comply with the obligations and the time frame in which the obligations shall not be complied with. If the delay or shortcoming comes to an end, the Party affected by force majeure shall immediately notify the other Party in writing about the end of the force majeure event. If the Force Majeure remains in place for more than 1 (one) month, and if the affected party fails to comply with their obligation through the said time frame, the other party may unilaterally terminate the agreement without compensation.
10.3 - Transfer and Assignment : The CUSTOMER shall not transfer or assign any of their rights or obligations within the framework of this agreement to a third party without the written consent and approval of GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi. GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi may transfer and assign their rights and obligations arising from this agreement to its Subsidiaries and joint ventures, provided that the obligations under this agreement are fulfilled exactly. This agreement remains in effect in the event that the equity and/or partnership structure of GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi changes compared to its state as of the signing date of this agreement, or in the event of a merger with another company or the establishment of a new commercial partnership or takeover of or by another company.
10.4 - Stamp Duty and Other Taxes : Stamp duty arising from this agreement shall be paid by GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi and invoiced to the CUSTOMER. Any taxes, duties, charges, and similar financial obligations arising from this agreement shall be paid by the CUSTOMER.
10.5 - Integral Parts of the Agreement : The General Terms of Use, Confidentiality/Security Policy, Service Agreement, and specific agreements concerning the products/services procured, if any, published on the WEBSITES of GIOEV Şarj İstasyonları İşletmeleri Anonim Şirketi, and read and approved by the CUSTOMER are integral parts and components of this agreement.
10.6 - Disputes and Non-Conformance : The Parties shall make every effort to ensure the settlement of any disputes regarding the interpretation of this agreement, between themselves, and on the basis of good will. The Courts and Enforcement Offices of Bursa shall have jurisdiction for any disputes which cannot be settled despite best efforts.
10.7 - Articles of the Agreement : This Agreement is comprised of 10 (ten) articles including this one, and the sub-sections thereof, and has been read by the parties and signed in acceptance.

I hereby affirm my acceptance of the individual articles and of the whole agreement.
